Thunder On Ice Sponsor Contract

The Arizona High School Hockey Association (AHSHA), a charitable organization under Section 501(c) 3 of the Internal Revenue Code, and the undersigned Sponsors (“Sponsor”) agree as follows.

I.                   RECITALS

A.     AHSHA is responsible for organizing and offering a High School Ice Hockey League known as “ Thunder On Ice” for the benefit of the Greater Phoenix, Tucson and Flagstaff youth.  The league will include a minimum of 34 practices and games, and an All-Star event, followed by a championship tournament. League activities should commence on or about September 15 and end on or about March 15.

B.     AHSHA is soliciting sponsors to help underwrite expenses of the league and individual teams in exchange for advertising benefits and name and product promotion. The undersigned Sponsor, by executing this document, accepts AHSHA’s invitation to become a Sponsor upon the terms and conditions described in this agreement.

C.     AHSHA reserves the right to accept or to reject any offer to sponsor the AHSHA organization or any individual or team under the auspices of AHSHA.

II.                SPONSOR BENEFITS

A.     The agreement to sponsor AHSHA or a Thunder On Ice Team shall entitle Sponsor to the following benefits for the ______________________ season.

GOLD: Five-inch Round or Equivalent Rectangular Patch (provided by sponsor) on Either Chest, Sleeve or Shoulder of All Game Jerseys. Full Page Inside or Back Cover Ad in AHSHA Yearbook. Recognized as Co-Sponsor of All Star Extravaganza. Web Banner Ad. Limited to Three Sponsors.

SILVER: (Team Sponsor):  Three-inch Round or Equivalent Rectangular Patch (provided by sponsor) on Team’s Game Jerseys.  ½ Page Ad in AHSHA Yearbook.  Web Banner Ad.  Limit of Two per Team.

BRONZE: Full Page Ad in AHSHA Yearbook. Web Banner Ad.

PREMIUM:

For All Silver, Bronze or Premium Programs sold by players, revenue will be divided as follows.

III.             SPONSOR PROMOTIONAL MATERIALS

Subject to these limitations, Sponsor shall be entitled to display or distribute at league activities for the selected season promotional materials such as T-shirts, caps posters etc., bearing sponsor’s name and or logo.  All materials shall be distributed free of charge. No distribution to the public of samples of alcohol or tobacco, or consumption of alcoholic beverages by persons representing Sponsor will be allowed.  Sponsor shall be responsible for the conduct and supervision of its representatives during league activities and of their compliance with these restrictions.

IV.              SPONSORSHIP CONTRIBUTION

A.   Sponsor’s contribution is for a single season and full payment is due upon delivery to AHSHA, or it’s representative, with an executed counterpart of this agreement.  All sums and services payable to this agreement shall be made by check payable to Arizona High School Hockey Association. The Arizona High School Hockey Association is a charitable organization under Section 501(c)3 of the Internal Revenue Code and portions of the Sponsor’s contributions may be tax deductible as charitable contributions as allowed by law.  Please consult a tax consultant professional for specifics on how this sponsorship applies to your individual situation.

B.     Sponsor understands that AHSHA must do planning and make commitments well in advance of league activities; therefore, no refund of deposits will be made should Sponsor later elect not to participate.  Sponsor shall still be subject to all the terms and conditions of this agreement.  Should either party to this agreement be required to pursue its legal rights hereunder, the prevailing party shall be entitled to recover all reasonable legal expenses incurred in addition to such damages as may be allowed by law.

C.     The delivery to AHSHA or its authorized representative of an executed counterpart of this agreement, together with the deposit required, and the acceptance of such delivery and deposit by an authorized representative of AHSHA, shall constitute a binding agreement between AHSHA and the undersigned.
